Agreement to these Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and GreenBadge Inc ("Green Badge," "Company," "we," "us," or "our"), concerning your access to and use of the website located at greenbadgejobs.com, and any other related products, features, applications, and services we offer that link to these Terms (collectively, the "Services").

By accessing or using the Services, you agree that you have read, understood, and agreed to be bound by these Terms. IF YOU DO NOT AGREE WITH THESE TERMS, YOU ARE PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date at the top of these Terms. We will provide reasonable notice of material changes either by posting a notice on the Services or by sending an email to your registered email address. Your continued use of the Services after the effective date of any updated Terms constitutes acceptance of the updated Terms.

We recommend that you print a copy of these Terms for your records.

1. Our Services

Green Badge is an online marketplace for U.S. security-cleared jobs. The Services allow:

  • Candidates with active U.S. federal security clearances to search and receive alerts about job openings requiring a clearance;
  • Employers (including government contractors, subcontractors, and systems integrators) to post and manage cleared job listings; and
  • Recruiters and staffing firms to subscribe to aggregated market data about cleared hiring activity.

Green Badge also ingests publicly available job postings from employer career websites to populate listings on the Services and links candidates to the employer's own application page to apply.

The Services are intended for use in the United States and are not designed or directed to users in other jurisdictions. The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation. Those who access the Services from outside the United States do so on their own initiative and are responsible for compliance with applicable local laws.


2. Who may use the Services

You may use the Services only if you:

  • Are at least 18 years of age;
  • Have the legal capacity to enter into a binding contract;
  • Are not a person barred from using the Services under the laws of the United States or any other applicable jurisdiction;
  • Are accessing the Services from the United States or otherwise lawfully able to use them; and
  • Agree to comply with these Terms and all applicable laws and regulations.

If you are accessing the Services on behalf of an entity (such as your employer), you represent that you have authority to bind that entity to these Terms, and "you" will refer to that entity.

The Services are not directed to children. We do not knowingly collect personal information from anyone under the age of 18. If we become aware that we have collected personal information from a person under 18, we will deactivate the account and delete the information.


3. Accounts and registration

To access certain features of the Services, you must register for an account.

When you register, you agree to:

  • Provide accurate, current, and complete information;
  • Maintain and promptly update your account information;
  • Maintain the security of your account credentials and not share them with any third party;
  • Notify us immediately of any unauthorized access to your account; and
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate any account that contains inaccurate, incomplete, or misleading information, or that we reasonably believe has been used in violation of these Terms.

You may not transfer, sell, or assign your account or your access to the Services to any other person.


4. Job listings and scraped content

Important: please read this section carefully.

The Services display job listings from two sources:

  1. Listings posted directly by employers through the Services; and
  2. Listings ingested from publicly available employer career websites ("scraped listings").

For scraped listings:

  • The original employer is the source of the listing content. We did not author the listing.
  • We are not affiliated with, endorsed by, or sponsored by any employer whose listings appear on the Services unless explicitly stated.
  • Listings may be incomplete, out of date, or no longer active. The employer's own career website is the authoritative source.
  • We do not guarantee the accuracy, completeness, or availability of any listing.
  • When you click "Apply" or a similar action, you will be directed to the employer's own application page. Your interaction with the employer's application process, including any information you provide to the employer, is governed by the employer's terms and privacy practices, not ours.

For all job listings on the Services, regardless of source:

  • We do not verify the accuracy of clearance requirements, salary ranges, location information, or any other aspect of a job listing.
  • A listing's appearance on the Services is not an offer of employment, a representation that the position is currently available, or a representation that the employer is actively hiring.
  • We make no representations or warranties about any employer, the nature of any position, the working conditions, compensation, benefits, or any other aspect of employment.
  • You are solely responsible for evaluating any job opportunity and conducting your own due diligence on any employer before applying or accepting any position.

If you are an employer and you believe a scraped listing should be modified or removed, please contact us at hello@greenbadgejobs.com and we will respond promptly. We will remove scraped listings on reasonable request from the originating employer.


5. Prohibited activities

You agree not to engage in any of the following activities while using the Services:

General prohibitions

  • Access or use the Services for any purpose other than that for which we make the Services available.
  • Use the Services in any manner that violates any applicable law, regulation, or third-party right.
  • Use the Services to harass, abuse, threaten, defame, or harm any other person.
  • Use the Services to send unsolicited or unauthorized commercial communications.
  • Engage in any conduct that restricts or inhibits any other user from using or enjoying the Services.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
  • Create an account using a false identity, another person's identity, or under any false pretense.
  • Sell, transfer, or assign your account, profile, or any access rights to any third party.
  • Use the Services to advertise or offer to sell goods or services unrelated to cleared employment.

Platform integrity

  • Scrape, harvest, extract, or otherwise collect data from the Services using any automated means (including bots, crawlers, scrapers, or AI agents), except as expressly authorized by us in writing.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Services.
  • Bypass, disable, or interfere with security or access controls of the Services, including authentication mechanisms, rate limits, or measures designed to prevent unauthorized data access.
  • Interfere with, disrupt, or create an undue burden on the Services or the networks or systems connected to the Services.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Use the Services to engage in any activity that could damage, disable, overburden, or impair our infrastructure or that of any third party.

Cleared-jobs-specific prohibitions

  • Misrepresent your security clearance status or eligibility. Submitting false, exaggerated, or unverified information about active security clearances, polygraph status, agency affiliations, or clearance eligibility is strictly prohibited.
  • Submit fraudulent or misleading job postings. Employers may not post listings for positions that do not exist, that misrepresent the role, that use bait-and-switch tactics, or that are designed to collect candidate information without genuine hiring intent.
  • Post, transmit, or upload any classified, controlled, or otherwise restricted U.S. government information. This includes classified information, Controlled Unclassified Information (CUI), export-controlled technical data (ITAR/EAR), and any other information whose disclosure is restricted by U.S. government regulations. The Services are not authorized for handling classified or restricted information.
  • Use the Services to make hiring decisions in violation of equal employment opportunity laws. Employers and recruiters may not use the Services or any information accessible through the Services to discriminate against candidates on the basis of race, color, religion, sex, national origin, age, disability, genetic information, or other protected classifications under federal or state law.
  • Resell, redistribute, or sublicense market intelligence data. Recruiter intel subscribers may not resell, redistribute, sublicense, or otherwise share aggregated market data, analytics, or other proprietary outputs with third parties outside their organization, except as expressly permitted under the applicable subscription terms.
  • Contact candidates outside the consent framework provided by the Services. Recruiters and employers may not use candidate contact information obtained through the Services to contact candidates for purposes outside the scope of the consent the candidate has granted, including unsolicited outreach for opportunities outside the Services or any solicitation unrelated to employment.
  • Use the Services to engage in foreign intelligence collection, recruitment, or other activities adverse to U.S. national security interests.

Violation of any provision in this Section 5 may result in immediate suspension or termination of your account, removal of content, and where appropriate, referral to law enforcement or other authorities. We may also pursue any other legal remedies available to us.


6. Cleared-context warnings and obligations

If you hold or have held a U.S. federal security clearance, you remain bound by the obligations imposed by your clearance, regardless of your use of the Services. In particular:

  • Do not discuss, post, or transmit classified information through the Services. The Services operate on commercial infrastructure and are not authorized for classified information at any level.
  • Be aware of foreign intelligence targeting. Cleared individuals are documented targets of foreign intelligence services. Be cautious about unsolicited contacts received through or facilitated by the Services. Report suspicious contacts to your Facility Security Officer (FSO) or the appropriate counterintelligence authorities.
  • Comply with your own reporting obligations. Your clearance may impose reporting obligations on you regarding foreign contacts, travel, or other matters. Your use of the Services does not relieve you of those obligations.

The Services are not a substitute for, and do not replace, the security guidance provided by your employer, your FSO, or the U.S. government. If anything you encounter on the Services raises a security concern, follow your reporting procedures.


7. Subscriptions, payment, and cancellation

Subscriptions

Certain features of the Services are available only to paid subscribers. By subscribing, you agree to pay the applicable fees in U.S. dollars as described at the time of purchase.

Billing and auto-renewal

Unless otherwise stated at the time of purchase, subscriptions automatically renew at the end of each billing period (monthly, annually, or other cadence as selected at the time of purchase) until cancelled. By subscribing, you authorize us (through our payment processor) to charge the payment method on file for each renewal at the then-applicable subscription rate.

We will provide notice of upcoming renewals as required by applicable law. For annual subscriptions, you will receive notice of renewal between 15 and 45 days before the renewal date.

Cancellation

You may cancel your subscription at any time by contacting us at hello@greenbadgejobs.com. We will process your cancellation promptly upon receiving your request and confirm by email.

Upon cancellation:

  • Your subscription will not renew at the end of the current billing period.
  • You will retain access to the paid features through the end of the current paid billing period.
  • You will not be charged for any subsequent billing period.

Refunds

All payments are non-refundable, except as required by applicable law. We do not offer refunds for partial billing periods, unused features, or accounts cancelled mid-cycle. We may, in our sole discretion, offer refunds or credits on a case-by-case basis as a matter of goodwill, but we are not obligated to do so.

Pricing changes

We may change our subscription pricing at any time. Price changes will not affect your current billing period but will apply at the next renewal. We will provide reasonable advance notice of any price increase.

Payment processing

Payments are processed by our third-party payment processor (Stripe). By providing payment information, you authorize us and our payment processor to charge your payment method. We do not store full payment card information; payment card details are handled by our payment processor in accordance with applicable security standards.

Accepted payment methods

We accept Visa, Mastercard, American Express, and Discover. For enterprise subscriptions, we may also accept ACH transfers or wire transfers. Other payment methods may be added or removed from time to time.


8. Intellectual property

Our intellectual property

We own or license all intellectual property rights in the Services, including all source code, databases, software, designs, text, graphics, logos, trademarks, and other content created by us (collectively, the "Company Content"), and all trademarks, service marks, and logos contained therein (the "Marks").

Company Content and Marks are protected by U.S. and international intellectual property laws.

License to you

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and to view Company Content, solely for your personal use (in the case of individual candidates) or your internal business purposes (in the case of recruiters and employers).

You may not:

  • Copy, reproduce, distribute, publicly display, or create derivative works of Company Content except as expressly permitted;
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notice on the Services;
  • Use any of our Marks without our prior written permission;
  • Use Company Content for any commercial purpose other than as expressly permitted.

Job listing content

Job listings on the Services originate from employers (either posted directly or scraped from publicly available employer career pages). We do not claim ownership of job listing content. Our rights in this content are limited to the rights necessary to display, organize, and distribute the content through the Services.

Reservation of rights

All rights not expressly granted to you are reserved by us. Nothing in these Terms transfers any intellectual property ownership to you.


9. User submissions and feedback

If you submit any feedback, suggestions, ideas, or other materials regarding the Services ("Submissions"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and distribute the Submissions for any purpose, without compensation or attribution to you.

You represent that:

  • Your Submissions are your original work or you have all necessary rights to provide them;
  • Your Submissions do not violate any third party's intellectual property rights, privacy rights, or other rights;
  • Your Submissions do not contain confidential or classified information;
  • Your Submissions comply with these Terms and applicable law.

We do not solicit Submissions of a confidential or proprietary nature. Do not send us any information you consider confidential or proprietary.


10. Third-party websites and content

The Services contain links to third-party websites, including employer career pages, application portals, and other external resources. These third-party sites are not under our control.

  • We do not endorse, sponsor, or guarantee any third-party website or its content.
  • We are not responsible for the accuracy, legality, safety, or availability of any third-party website.
  • Your use of any third-party website is at your own risk and subject to the third party's own terms and privacy practices.
  • Any transaction or interaction you have with a third party (including applying for a job through an employer's career page) is solely between you and that third party.

We encourage you to review the terms and privacy practices of any third-party website before providing information or engaging in any transaction.


We respect the intellectual property rights of others and expect users of the Services to do the same.

Notification of claimed infringement

If you believe that content on the Services infringes your copyright, please send a written notice to our Designated Copyright Agent including:

  1. A physical or electronic signature of the person authorized to act on behalf of the copyright owner;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the material that is claimed to be infringing, with sufficient detail to allow us to locate it;
  4. Your contact information (address, telephone number, email);
  5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  6. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Counter-notification

If you believe that material you posted was removed or disabled by mistake or misidentification, you may submit a counter-notification under 17 U.S.C. § 512(g).

Repeat infringers

We will terminate the accounts of users who are determined to be repeat infringers.


12. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY JOB LISTINGS, EMPLOYER INFORMATION, MARKET INTELLIGENCE, OR OTHER CONTENT;
  • ANY WARRANTY THAT JOB LISTINGS ARE CURRENT, AVAILABLE, OR ACCURATELY DESCRIBED;
  • ANY WARRANTY THAT EMPLOYERS, RECRUITERS, OR CANDIDATES ARE WHO THEY CLAIM TO BE OR HAVE THE QUALIFICATIONS OR CREDENTIALS THEY CLAIM;
  • ANY WARRANTY REGARDING THE OUTCOME OF ANY JOB APPLICATION, EMPLOYMENT DECISION, OR RECRUITING ACTIVITY.

YOU USE THE SERVICES AT YOUR OWN RISK. We make no warranties about, and assume no liability for:

  • Errors, mistakes, or inaccuracies in content;
  • Personal injury or property damage arising from your use of the Services;
  • Unauthorized access to our servers or personal information stored therein;
  • Interruption or cessation of the Services;
  • Bugs, viruses, or other harmful code that may be transmitted through the Services by any third party;
  • Loss or damage incurred from any content or interaction with any third party through the Services.

Some jurisdictions do not allow the exclusion of certain warranties. If these laws apply to you, some or all of the above disclaimers may not apply, and you may have additional rights.


13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.


14. Indemnification

You agree to defend, indemnify, and hold harmless Green Badge, its directors, officers, employees, contractors, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  1. Your use of the Services;
  2. Your violation of these Terms;
  3. Your violation of any third-party right, including intellectual property, privacy, or publicity rights;
  4. Your violation of any applicable law or regulation;
  5. Any content you post, submit, or transmit through the Services;
  6. Any misrepresentation by you (including misrepresentation of your security clearance status);
  7. Any unauthorized use of your account.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense at your expense.


15. Term and termination

These Terms remain in effect while you use the Services.

Termination by you

You may terminate your account at any time by following the cancellation process described in Section 7 (for paid subscriptions) or by contacting us at hello@greenbadgejobs.com.

Termination by us

We reserve the right, in our sole discretion and without notice or liability, to suspend or terminate your account or your access to the Services at any time, for any reason, including:

  • Violation of these Terms;
  • Conduct that we believe is harmful to other users, to us, or to third parties;
  • Suspected fraud, misrepresentation, or other unlawful activity;
  • Failure to pay applicable fees;
  • Extended account inactivity;
  • For any other reason in our sole discretion.

If we terminate your account, you may not create a new account under your own name, a false name, or the name of any third party.

Effect of termination

Upon termination:

  • Your right to access and use the Services immediately ceases.
  • We may delete your account information and any content associated with your account, subject to legal retention requirements.
  • Provisions that by their nature should survive termination (including Sections 8, 9, 12, 13, 14, 17, 18, 19, and 21) will survive.

16. Modifications and interruptions

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

We do not guarantee that the Services will be available at all times. We may experience hardware, software, or other technical issues, or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access the Services during any such period.


17. Dispute resolution

Informal negotiations

To expedite resolution and control costs, you and Green Badge agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Services (each, a "Dispute") informally for at least thirty (30) days before initiating arbitration. Informal negotiations begin upon written notice from one party to the other.

Binding arbitration

If we cannot resolve a Dispute through informal negotiations, the Dispute (except as provided below) will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules (or, for disputes involving consumers, its Consumer Arbitration Rules).

  • Arbitration venue: Baltimore, Maryland (or another location in Maryland as agreed by the parties or determined by AAA).
  • Number of arbitrators: One (1) arbitrator, unless the dispute exceeds $250,000 in which case three (3) arbitrators.
  • Language: English.
  • Governing law: The substantive law of the State of Maryland.

The arbitrator will have authority to grant any remedy that would otherwise be available in court.

Class action waiver

YOU AND GREEN BADGE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims, and may not preside over any form of representative or class proceeding.

Excessive arbitration fees

If the arbitration fees that would otherwise be your responsibility exceed the fees you would have paid to bring the same claim in court, Green Badge will pay the excess. This commitment is intended to ensure that the requirement to arbitrate does not impose a greater financial burden on you than litigation would.

Exceptions to arbitration

The following types of disputes are not subject to the arbitration provisions above:

  1. Disputes seeking to enforce or protect intellectual property rights of either party;
  2. Disputes related to allegations of theft, piracy, invasion of privacy, or unauthorized access;
  3. Claims for injunctive or equitable relief;
  4. Small-claims court actions, if brought on an individual basis.

If a court finds the arbitration provisions or the class action waiver unenforceable, the entire dispute resolution section will be null and void, and the Dispute will be resolved in court in accordance with Section 18.


18. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles. Any Dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction of those courts.


19. Time limit to bring claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues, otherwise it is permanently barred. This contractual limitation period applies to the maximum extent permitted by applicable law.


20. Electronic communications and signatures

By using the Services, you consent to receive electronic communications from us, including notices, agreements, disclosures, and other information. You agree that:

  • All electronic communications satisfy any legal requirement that such communications be in writing.
  • Electronic signatures, contracts, and records are valid and enforceable to the same extent as paper signatures and records.
  • You waive any rights or requirements under any law requiring an original (non-electronic) signature or delivery or retention of non-electronic records.

21. Miscellaneous

Entire agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Green Badge regarding the Services and supersede all prior agreements.

Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed from these Terms, and the remaining provisions will remain in full force and effect.

Assignment

We may assign these Terms or any of our rights or obligations hereunder at any time, without notice. You may not assign these Terms or any of your rights or obligations without our prior written consent.

Force majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, natural disasters, public health emergencies, cyberattacks (including DDoS and nation-state-level attacks), failures of internet infrastructure, or failures of third-party services on which the Services depend.

No joint venture or agency

Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and us.

No construction against drafter

You agree that these Terms will not be construed against us by virtue of having drafted them.

Section headings are for convenience only and do not affect the interpretation of these Terms.
